Wholesale Terms of Service & Business Agreement
Version 1.0 · Last updated: 24 September 2026 · eSIM Cover Wholesale Portal (B2B)
These Wholesale Terms of Service & Business Agreement (the "Agreement") govern access to and use of the eSIM Cover Wholesale Portal (the "Partner Platform") by the business customer registered on it (the "Partner", "you") and eSIM Cover ([Company legal entity], "we", "us"). It supplements our general Terms of Service and Privacy Policy; where the two conflict, this Agreement prevails for wholesale matters.
B2B only. The Partner Platform is offered exclusively to businesses (companies, sole traders and organisations acting in a professional capacity) for resale and business use. Consumer statutory withdrawal rights do not apply.
1. Definitions
"Business Account" — your account on the Partner Platform. "Balance" — prepaid credit held in your Business Account and used to pay for Orders. "Wholesale Price" — the price we charge you, shown as a discount percentage of the Retail Price. "Retail Price" — our public retail price. "End Customer" — the person to whom you resell an eSIM plan. "Order" — a purchase of one or more eSIM plans through the Partner Platform. "ICCID" — the integrated-circuit-card identifier assigned to an activated eSIM.
2. Registration, Eligibility & Verification
Accounts may only be registered by an authorised representative of the business. You must provide accurate and current business information (company name, country, contact details and, on request, registration number, VAT/tax ID and any licence relevant to reselling telecom services) and keep it up to date. We may verify business credentials at any time and may refuse, suspend or close an account if verification fails. Approval of registration is at our discretion. One legal entity per Business Account; sharing or transferring accounts requires our prior written consent.
3. Account Security
You are responsible for all activity under your credentials. Keep passwords confidential, restrict access to authorised personnel, deactivate access when personnel leave, and notify us without undue delay of any suspected unauthorised access.
4. Orders, Delivery & Activation
Orders are placed through the Partner Platform. After payment, the eSIM (QR code and installation instructions) is delivered electronically and shown in your Orders view. You are responsible for the accuracy of the details you enter. We may reject or cancel Orders in cases of suspected fraud, misuse, technical error (including obvious pricing errors) or plan unavailability; amounts charged for Orders cancelled for technical error or unavailability are re-credited to your Balance.
5. Cancellation & Refunds
- Orders whose eSIM has not yet been activated (no ICCID assigned) may be cancelled by you through the Partner Platform; the corresponding amount is refunded to your Balance or, where already settled, via the original payment method (typically 5–10 business days).
- Once an activation has been clicked and/or an ICCID has been assigned, the Order cannot be cancelled by you; the attempt returns an error. Refunds after activation are handled case-by-case by your account manager and depend on the network operator's rules.
- Orders in failed-activation status are blocked from self-service cancellation and must be reviewed with your account manager before any refund.
6. Prices, Payment, Balance & Credit
Wholesale Prices are displayed in US dollars (USD) as a discount percentage of the Retail Price and are exclusive of VAT/taxes unless stated otherwise. We may adjust Wholesale Prices with effect for future Orders; completed Orders are unaffected.
- Orders are paid from your prepaid Balance or via the payment methods offered in the Partner Platform (e.g. card via Stripe). Card payments may carry processing fees; applicable fees and limits are shown before you confirm.
- The Balance is not a deposit or e-money account, bears no interest, may only be used for purchases on the Partner Platform and is not transferable.
- You may not set off claims against us except where undisputed or established by final court decision. We may set off outstanding dues against your Balance.
- Where credit terms have been agreed in writing, invoices must be paid within the stated period; we may charge late-payment interest as permitted by law and suspend the account until payment.
7. Taxes
You are solely responsible for taxes arising from your resale to End Customers, including charging and remitting VAT/sales tax on your Retail Prices. Provide a valid VAT/tax ID where applicable; you are liable for errors in the information you supply.
8. Resale to End Customers & Support
You purchase eSIM plans in your own name and for your own account and resell them to End Customers in your own name. You are the first line of support for your End Customers; we support you on platform, provisioning and network-level issues. You must not present yourself as our consumer brand or make commitments on our behalf beyond what the Partner Platform provides.
9. Acceptable Use & Fraud
You must not: resell to end customers prohibited by applicable sanctions; use the platform for unlawful, abusive or fraudulent purposes; exploit technical errors (including obvious pricing errors); or attempt to circumvent activation, cancellation or payment controls. Where Orders are cancelled due to fraud or misuse attributable to you, we are not obliged to re-credit amounts already charged and may withhold amounts pending investigation.
10. Service Availability & Liability
The Partner Platform is provided "as is" without warranties of uninterrupted availability. Network coverage and speeds depend on the underlying mobile operators. To the maximum extent permitted by law, our aggregate liability arising from this Agreement is limited to the amounts you paid us for Orders in the three (3) months preceding the event giving rise to the claim. Neither party is liable for indirect or consequential damages.
11. Term, Suspension & Termination
This Agreement applies while your Business Account is active. Either party may terminate with written notice. On termination we will refund your remaining Balance after deducting outstanding dues, chargebacks and damages, and deactivate access. Sections 6, 9, 10 and 13 survive termination.
12. Privacy & Data Protection
Each party processes personal data in accordance with applicable data-protection law and our Privacy Policy. You are responsible for obtaining any End Customer consents required for the data you submit to the Partner Platform.
13. Changes to This Agreement
We may update this Agreement; changes that reduce your rights or increase your obligations will be notified by email or in the Partner Platform at least fourteen (14) days before taking effect. Continued use after the effective date constitutes acceptance.
14. Governing Law & Disputes
This Agreement is governed by the laws of [Governing jurisdiction], without regard to conflict-of-law rules. Disputes shall be brought before the courts of [Venue], unless mandatory consumer or business law provides otherwise.
